We are looking for a seasoned Permanent Corporate Associate to join our dynamic legal team. The ideal candidate will have a strong background in corporate law, with a focus on mergers and acquisitions, transactional due diligence, fundraising and venture financings, and issuances of preferred stock and convertible securities. The candidate will also counsel clients, manage capitalization tables, and prepare waterfalls and pro formas.

Responsibilities:

• Provide strategic legal and business advice to high-growth technology and life sciences companies.
• Handle a variety of general corporate legal matters.
• Draft, review, and negotiate a wide variety of corporate and transactional documents, including merger and acquisition agreements, venture financing agreements, and preferred stock and convertible securities issuances.
• Conduct transactional due diligence and manage capitalization tables.
• Counsel clients on a broad range of legal and business issues.
• Work closely with other attorneys and partners to provide full-service support to clients.

Qualifications:

• A J.D. degree from an accredited law school and a license to practice law in the relevant jurisdiction.
• A minimum of 4 years of Corporate law experience, with a focus on corporate law, mergers and acquisitions, and venture financings.
• Strong academic credentials.
• Experience in drafting consents and reviewing contracts.
• Advanced communication and negotiation skills.
• Interest in the innovation economy and in working with venture-backed and emerging growth companies.
• Ability to provide strategic legal and business advice to high growth technology and life sciences companies.
• Strong organizational skills, attention to detail, and ability to handle multiple tasks and deadlines.
• High degree of professional ethics and integrity.
